Mergers & Acquisitions The Program Mergers & Acquisitions (M&A) are a big part of business. It seems like every day we hear of another M&A transaction occurring somewhere in the world. Such a transaction can bring two separate companies together to form a larger company, or such a transaction can carve out a division of a company and sell it to another company. In 2008, Inbev became a larger company when they acquired Anheuser-Busch. For the last number of months, we have been following the saga of Kraft and Cadbury. What are buyers looking to achieve? What information do they need to confirm their projected results? When all is said and done, what enables buyers to achieve or prevents buyers from achieving those projected results? Although every M&A project is unique, there are common denominator elements of the M&A process that can help enable repeatability. Come and hear how teams can use tools to accomplish desired objectives in an M&A process. To be discussed: 1. Common evaluation criteria for acquisition targets 2. Issues that need to be addressed in the management of the due diligence process and in the completion of the analysis 3. Reasons for successful and unsuccessful M&A’s 4. Tips on how to position your organization as a compelling partner 5. Strategies to achieve sustainability other than M&A The Presenter Don Shiers is a Director, Corporate Development within the Corporate Finance Group of Eastman Kodak Company. He has 15 years experience in Corporate Development at Kodak. During that interval, Kodak has undergone a significant transformation of its business. M&A has been a significant tool used in that transformation. Initially as a Project Manager and now as a Director, Don has had the opportunity to play a significant role in the majority of Kodak’s major acquisitions, divestitures and joint ventures during that interval.
